Purchase Agreement

These Terms & Conditions are a binding agreement between you (the purchaser) and SYNPROLABS LLC ("SynproLabs"), and they govern every order placed on synprolabs.com. Read them before you buy. By creating an account or placing an order you accept these terms in full, together with the policies they reference. If you do not agree, do not use this website or place an order.

Research Use Only. Every product SynproLabs sells is a research chemical, supplied solely for laboratory research, analytical, or educational use by qualified professionals. Products are not for human or animal use or consumption of any kind. They may not be used for in vitro diagnostic purposes, in food, drugs, medical devices, or cosmetics, or in any clinical, diagnostic, or therapeutic application. Basic scientific research does not include clinical, diagnostic, or human research of any kind.

SynproLabs is a chemical supplier. We are not a compounding pharmacy or chemical compounding facility as defined in Section 503A of the Federal Food, Drug, and Cosmetic Act, and we are not an outsourcing facility as defined in Section 503B of that Act.

FDA Disclaimer. The statements made on this website have not been evaluated by the U.S. Food and Drug Administration. No SynproLabs product is intended to diagnose, treat, cure, or prevent any disease. Products have not been tested or approved for safety or efficacy in food, drugs, medical devices, cosmetics, or any commercial application.

Eligibility. You must be at least 21 years of age to create an account or purchase from SynproLabs. By ordering you represent that you are 21 or older, that you are a qualified researcher or purchasing on behalf of a research organization, and that the products you buy will be handled only by individuals trained in the safe handling of laboratory chemicals. We may decline or cancel any order, or close any account, where we have reason to believe these conditions are not met.

Purchaser Representations & Warranties. By purchasing from this website you represent and warrant that:

  • you are knowledgeable of all laws and regulations that apply to your purchase, handling, and use of the products;
  • from your own independent review you are aware of the health and safety hazards associated with the products, the industrial hygiene controls needed to protect anyone who handles them, and the need for appropriate warnings and safeguards;
  • you will warn your personnel and anyone else who handles the products (including carriers and freight handlers) of any risks involved;
  • you will independently test and evaluate each product you purchase, and anything you produce with it, before use, in accordance with the practices of a qualified expert in your field;
  • you will conduct any further research needed to identify hazards before use, and the products will be handled and used only by qualified professionals, in strict compliance with all applicable local, state, federal, and international laws; and
  • nothing you produce with a SynproLabs product will be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, and no product will be introduced into interstate commerce in violation of Sections 404, 505, or 512 of that Act.

Permitted Use & Resale Restrictions. Your purchase conveys a limited, non-transferable right to use the quantity purchased for internal research conducted for your own benefit. No right to resell, repackage, relabel, or supply the products to any third party is conveyed, expressly or by implication, without SynproLabs' prior written approval. Products may not be exported and may not be used in commercial applications of any kind, including quality control or reporting results for a fee. You agree to follow any handling or use instructions SynproLabs furnishes with a product. SynproLabs reserves the right to limit quantities and to refuse sale to unqualified customers.

Patents & No License. SynproLabs does not warrant that the use or sale of the products will not infringe the claims of any United States or foreign patent covering the product itself or its use in combination with other substances or in the operation of any process. The listing of a product on this website does not constitute a license to, or a recommendation for, its use in infringement of any patent.

Regulatory Status (TSCA). Unless otherwise stated, products are intended for research purposes only and may not be listed on the Toxic Substances Control Act (TSCA) inventory. You are responsible for confirming that any product you purchase is approved for your intended use under TSCA, where applicable.

Orders, Pricing & Payment. All prices are listed in USD and may change without notice. Orders are subject to availability. An order confirmation email does not constitute acceptance of your order: SynproLabs may accept, decline, cancel, or limit any order at its discretion, including after confirmation, and will refund any amount already paid for an order we do not fill. Billing details must match your card issuer's records or processing may be delayed. We reserve the right to cancel any order if there is reason to believe products are being purchased for purposes other than those for which they are sold. Prices do not include taxes. SynproLabs collects sales tax where required by law; you are responsible for any other taxes or duties that apply to your order.

Shipping & Returns. Shipping options, rates, delivery expectations, and our returns process are described on the Shipping & Returns page, which forms part of these terms.

Certificates of Analysis. Every batch is tested by an independent accredited laboratory to verify identity and purity. The certificate of analysis for your batch is available on request.

Intellectual Property. All content on this site, including text, design, logos, graphics, product descriptions, and their arrangement, is the property of SynproLabs. You may use it only to shop and place orders here. Copying, reproducing, republishing, or distributing site content in any form without prior written permission is prohibited.

Third-Party Links. This site may link to websites owned and operated by third parties. SynproLabs is not responsible for the operation or content of any site it does not control.

Email & SMS Communications. If you opt in to email or SMS updates, you agree to receive recurring automated messages at the address or number you provided. Consent is not a condition of purchase. Message and data rates may apply and message frequency varies. Reply STOP to cancel SMS at any time, reply HELP for help, or use the unsubscribe link in any email. Messages may be sent from a dedicated number that is different from our support line, and neither SynproLabs nor wireless carriers are liable for delayed or undelivered messages. Limitation of Liability. Products are sold as-is, for research use only. To the fullest extent permitted by law, SynproLabs and its affiliates shall not be liable for any special, incidental, indirect, or consequential damages arising from the handling, storage, use, or misuse of any product purchased from this website, whether the claim is based in contract, negligence, strict liability, or otherwise. Responsibility for improper use rests solely with the purchaser.

Indemnification. You agree to indemnify and hold SynproLabs, its officers, employees, and affiliates harmless from all claims, expenses, losses, and liability of any nature arising out of your handling, storage, or use of any product purchased from this website, whether used alone or in combination with any other substance.

Governing Law & Venue. These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these terms or from your purchase shall be brought exclusively in the state or federal courts located in Broward County, Florida.

Severability & Entire Agreement. These terms, together with the policies they reference, are the entire agreement between you and SynproLabs regarding your purchase. If any provision is held invalid or unenforceable, the remaining provisions stay in full force. These terms supersede and reject any conflicting terms in any purchase order or other document you submit, whether or not signed, and they bind and benefit both parties and their successors and permitted assigns. No modification of these terms is effective unless made in writing by SynproLabs.

Changes to These Terms. We may update these terms from time to time. The version posted at the time you place an order is the version that applies to that order.
